Steps for Registering a Legal Entity in Belarus


Once the company's name is approved and the legal address is determined, the process proceeds as follows:

1. Hold a Founders' Meeting, where the distribution of shares, the size of the authorized fund, and other important organizational matters are decided. For a private unitary enterprise (PUE) or LLC with a sole participant, all decisions are made individually.
2. Appoint a Director – the company cannot function without a director. This can be done during or after registration, but delaying is not recommended. Without a director, it's impossible to open a bank account, obtain an electronic signature, and handle other organizational matters.
3. Prepare the company's charter, containing basic information about the organization and rules for its operation under current legislation.
4. File registration documents with the registration authorities to list the company in the Unified State Register (EGR).


A state registration certificate is issued no later than the next day after the documents are submitted. Registration is completed within 5 business days. After receiving all the documentation, the director or authorized representative opens a bank account and takes several additional steps:

- Obtaining and registering complaint and suggestion books.
- Choosing a tax system.
- Obtaining an electronic signature.
